Terms of Service

These Terms of Service govern your access to and use of the 5ac.vn platform, including all AI Agent services, APIs, tools, and features.

1. Definitions

In these Terms of Service, the following terms shall have the meanings set forth below:

1.1. Service: The entire platform, applications, API, tools, and features provided by 5ac.vn, including but not limited to AI Agent services, intelligent chatbots, and other automation utilities.

1.2. User: Any individual or organization that has registered an account and uses the Service, including both paid users and trial users.

1.3. Content: All information, data, text, images, audio, video, files, source code, or other materials that the User uploads, inputs, transmits, or generates through the Service, as well as output produced by the Service.

1.4. AI Agent: The artificial intelligence system operated by 5ac.vn, capable of autonomously performing tasks, processing natural language, generating content, and interacting with Users and external systems based on large language models (LLMs) and other AI technologies.

1.5. Account: The User's registration profile on the 5ac.vn system, including identification information and settings related to the use of the Service.

1.6. Third-Party Service: Platforms, applications, or services not owned or controlled by 5ac.vn that the User may connect or integrate with through the Service.

2. Scope of Application

2.1. These Terms of Service ("Terms") constitute a legally binding agreement between the User and 5ac.vn, governing all access to and use of the Service.

2.2. By registering an account, accessing, or using the Service in any manner, the User confirms that they have read, understood, and agree to be bound by these Terms. If the User does not agree with any part of these Terms, they are not permitted to use the Service.

2.3. Additional policies such as the Privacy Policy, Acceptable Use Policy, and any service-level agreements (SLAs) are incorporated into these Terms by reference.

2.4. 5ac.vn reserves the right to modify these Terms at any time. Any changes will be notified to the User via their registered email or through platform notice at least fifteen (15) days before the effective date. The User's continued use of the Service after the effective date of the modifications shall constitute acceptance of those changes.

2.5. In the event of any conflict between the Vietnamese version and a translation into another language, the Vietnamese version shall prevail.

3. Account Registration

3.1. To use the Service, the User must register an Account. The User warrants that all information provided during registration is accurate, complete, and current.

3.2. The User is responsible for:

• Maintaining the confidentiality of login credentials, including username, password, and other authentication methods;
• Maintaining the security of their devices and sessions;
• Being fully liable for all activities occurring through their Account, except where the User has promptly notified 5ac.vn of unauthorized access.

3.3. Users must be at least 18 years of age to register an Account. If the User is under 18 years of age, registration and use of the Service must be with the consent and supervision of a parent or legal guardian.

3.4. Each individual may only register one Account, unless otherwise agreed in writing with 5ac.vn.

3.5. 5ac.vn reserves the right to refuse registration, suspend, or disable an Account if fraudulent activity, false information, or a violation of these Terms is detected.

4. User Rights and Obligations

4.1. User Rights:

• To access and use the Service according to the registered service plan;
• To receive technical support in accordance with the prevailing support policy;
• To export their data in a common format for as long as the Account remains active;
• To request deletion of their Account and personal data as provided in the Privacy Policy;
• To submit feedback and suggestions regarding Service quality.

4.2. User Obligations:

• To comply with Vietnamese law and relevant international regulations when using the Service;
• Not to use the Service for any illegal purposes, fraud, infringement of intellectual property rights, harassment, or causing harm to others;
• Not to interfere with, disable, or overload the 5ac.vn system;
• Not to reverse engineer, decompile, extract source code, or unlawfully copy any part of the Service;
• Not to use the Service to develop competing AI models or train third-party machine learning systems;
• To pay all service fees in full and on time according to the registered plan;
• To bear responsibility for the legality, accuracy, and safety of Content they upload or generate through the Service.

4.3. The User undertakes not to post or transmit through the Service any content that:

• Violates Vietnamese law or public morals;
• Contains malware, viruses, or dangerous code;
• Infringes upon the privacy or intellectual property rights of any third party;
• Contains sensitive personal information of third parties without lawful consent.

5. AI Agent Service — Disclaimer

5.1. Nature of AI Agent: The AI Agents of 5ac.vn are built on large language models (LLMs) and advanced AI technologies. Output generated by the AI Agent is produced based on training data and statistical algorithms and is not guaranteed to be accurate, complete, or entirely appropriate.

5.2. Not professional advice: Information, content, or recommendations provided by the AI Agent do not constitute and shall not be relied upon as a substitute for:

• Legal advice from a licensed attorney;
• Medical advice, diagnosis, or treatment from a licensed physician;
• Financial, investment, or accounting advice from a certified financial professional;
• Technical or other professional advice from qualified experts in the relevant field.

5.3. User Responsibility: The User is responsible for:

• Independently checking, verifying, and evaluating all output from the AI Agent before using or relying on it to make decisions;
• Not entering sensitive personal information, trade secrets, or highly confidential data into conversations with the AI Agent unless adequately encrypted or protected;
• Understanding that the AI Agent may produce inaccurate, biased, or inappropriate content (a phenomenon known as "hallucination").

5.4. Monitoring and improvement: 5ac.vn does not monitor all conversation content in real time but reserves the right to access anonymized conversation logs to improve Service quality and train models, in accordance with the Privacy Policy.

6. Intellectual Property

6.1. Ownership by 5ac.vn:

• The platform, source code, interface design, algorithms, databases, technical documentation, and all components constituting the Service are the intellectual property of 5ac.vn or its licensors;
• The brand name, logo, slogans, and identifying marks of 5ac.vn are protected under intellectual property law.

6.2. Ownership by the User:

• The User retains all intellectual property rights in the Content they upload, input, or generate through the Service;
• By using the Service, the User grants 5ac.vn a non-exclusive, royalty-free, transferable (only to auxiliary service providers), worldwide license, to the extent necessary to operate, improve, and provide the Service.

6.3. AI Agent Output: Ownership of output generated by the AI Agent belongs to the User, except where the output infringes upon the intellectual property rights of a third party. However, 5ac.vn does not warrant that the output does not infringe third-party rights.

6.4. Feedback: Any feedback, suggestions for improvement, or evaluations from the User regarding the Service shall become the property of 5ac.vn and may be used without any obligation of compensation or notice to the User.

7. Limitation of Liability

7.1. General limitation: To the maximum extent permitted by law, 5ac.vn and its related parties (employees, partners, suppliers) shall not be liable for any of the following damages arising from or related to the use or inability to use the Service:

• Direct, indirect, incidental, or consequential damages;
• Loss of profits, revenue, data, business opportunities, or goodwill;
• Costs of substitute services or goods;
• Damages arising from service interruptions, technical errors, data loss, or third-party conduct.

7.2. Limitation on liability amount: In no event shall the total liability of 5ac.vn to the User arising from or related to these Terms or the use of the Service exceed the total service fees paid by the User to 5ac.vn in the twelve (12) months immediately preceding the event giving rise to the claim.

7.3. Disclaimer for AI Agent: 5ac.vn shall not be liable for any losses, damages, or claims arising from the User's reliance on AI Agent output to make decisions, particularly in legal, medical, financial, or other professional fields.

7.4. Force majeure: 5ac.vn shall not be liable for any delay or failure to perform obligations due to force majeure events such as natural disasters, war, riots, epidemics, fire, flood, power grid failures, or government actions.

7.5. This limitation does not apply in cases of:

• Damages caused by the willful misconduct or serious violation of law by 5ac.vn;
• Liabilities that the law does not permit to be limited or excluded;
• Breach of obligations regarding the protection of personal data as required by law.

8. Termination

8.1. Termination by the User:

• The User may terminate their Account at any time using the feature available on the platform or by sending a request to legal@5ac.vn;
• Account termination shall take effect within thirty (30) business days from receipt of a valid request;
• The User is responsible for settling all payment obligations before termination.

8.2. Termination by 5ac.vn:

• 5ac.vn may suspend or terminate the User's Account immediately if the User materially breaches these Terms, particularly the conduct specified in Sections 4.2 and 4.3;
• 5ac.vn may discontinue the Service or any part thereof with thirty (30) days' prior notice;
• If the User fails to pay service fees when due, 5ac.vn may suspend the Account after seven (7) days from the due date and terminate the Account after thirty (30) days from the overdue date.

8.3. Consequences of termination:

• The User's access rights to the Service shall be revoked;
• 5ac.vn will delete or anonymize the User's personal data in accordance with the Privacy Policy;
• The provisions on intellectual property (Section 6), limitation of liability (Section 7), and other provisions that by their nature survive termination shall remain in effect.

9. Governing Law and Dispute Resolution

9.1. Governing law: These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

9.2. Jurisdiction: Any disputes, claims, or disagreements arising from or relating to these Terms shall be resolved by the competent People's Court in Ho Chi Minh City, Vietnam.

9.3. Mediation: Before initiating court proceedings, the parties shall attempt to resolve the dispute through negotiation or mediation within thirty (30) days from the date one party receives a dispute resolution request.

9.4. Dispute resolution language: The language used in the dispute resolution process shall be Vietnamese.
